Mr. and Mrs. Reyes invested their hard-earned savings in securities issued by LEAD Bank. 1. RTC Civil Jurisdiction
Under Section 63 of the Securities Regulation Code (Republic Act Number 8799) and corporate jurisprudence, all civil liabilities arising from violations of the Securities Regulation Code fall within the exclusive original jurisdiction of the Regional Trial Court. Civil actions for rescission, nullity of contract, or recovery of money based on SRC violations do not require prior administrative recourse to the Securities and Exchange Commission, as the doctrine of primary jurisdiction applies exclusively to criminal prosecutions under the Code.

2. Unregistered Securities Sale
Under Section 8 of the Securities Regulation Code (Republic Act Number 8799), securities shall not be sold, offered for sale, or distributed within the Philippines without a registration statement duly filed with and approved by the Securities and Exchange Commission. The sale of unregistered securities renders the seller civilly liable under Section 57 of the Code to the purchaser, who may sue in court to recover the consideration paid upon tender of the security, together with interest and attorney's fees.

3. Primary Jurisdiction Scope
The doctrine of primary jurisdiction under the Securities Regulation Code dictates that criminal prosecutions for SRC violations must first be investigated by the Securities and Exchange Commission prior to filing in criminal courts. However, this doctrine does not extend to pure civil suits for damages, contract nullity, or investment recovery brought by aggrieved private investors. Private parties may institute civil actions directly before the Regional Trial Court without seeking prior administrative investigation or declaration of violation from the SEC.
