1. Champertous Contract Nature
Under Philippine legal ethics and settled jurisprudence, a champertous contract is an agreement whereby a lawyer undertakes to carry on litigation at their own expense and risk in consideration of receiving a share of the proceeds or property recovered. Unlike a valid contingent fee contract where litigation costs are ultimately borne or reimbursed by the client, a champertous agreement completely relieves the client of financial obligation. Such contracts are void ab initio for being contrary to public policy because they encourage speculative litigation and turn the practice of law into a commercial venture.
2. Contingent Fee Validity
A contingent fee agreement is recognized as valid and binding when an attorney's fee is made dependent upon the successful outcome of the lawsuit, provided the client remains responsible for reimbursing litigation expenses. Contingent fees facilitate access to justice for indigent or financially constrained litigants by allowing attorneys to receive a reasonable portion of the money or property recovered. However, contingent fee contracts remain under strict judicial supervision to ensure that the agreed percentage is fair, reasonable, and not unconscionable or champertous.
3. Quantum Meruit Recovery
Even when a contingent fee contract is declared void for being champertous, the attorney is not entirely precluded from receiving compensation for legal services actually performed. Under the principle of quantum meruit, the lawyer may recover reasonable attorney's fees based on the actual value of legal work rendered for the client's benefit. However, the attorney cannot enforce the void champertous agreement itself nor compel the transfer of specific property stipulated under the illegal contract, as public policy forbids enforcing void agreements.
