1. Partnership Elements
Under Article 1767 of the Civil Code, a contract of partnership is formed when two or more persons bind themselves to contribute money, property, or industry to a common fund, with the intention of dividing the profits among themselves. The essential requisites are mutual contribution to a common fund and an intention to divide profits. When parties establish a joint business enterprise and contribute capital or industry to achieve shared financial returns, a valid partnership contract is created.

2. Profit Sharing Evidence
Under Article 1769 of the Civil Code, the receipt by a person of a share of the profits of a business is prima facie evidence that he is a partner in the business. Although profit-sharing alone does not automatically create a partnership if payments represent debt satisfaction or wages, sharing net profits derived from a joint commercial venture strongly indicates co-ownership of business profits and a partnership relationship between the parties.

3. Management Stipulation Effect
Under Philippine civil law, partners may validly stipulate that one partner shall have exclusive management control over business operations. Granting one partner full operational authority to run the business while requiring periodic sales reports does not negate the existence of a partnership. Co-partners remain bound by the partnership agreement as long as the essential elements of mutual contribution and profit-sharing remain present.
