1. Management Prerogative Rights
Under settled jurisprudence, such as Duncan Association of Detailman-PTGWO v. Glaxo Wellcome, an employer possesses the inherent management prerogative to enforce policies prohibiting relationships that pose a conflict of interest or compromise trade secrets. Employers operating in highly competitive industries like pharmaceuticals may validly establish reasonable restrictions to guard against the unauthorized leak of commercial data, proprietary drug formulas, marketing strategies, and confidential information to rival corporations.

2. Consanguinity and Affinity
Consanguinity refers to blood relationships, whereas affinity denotes legal relationships created through marriage between a spouse and the blood relatives of the other spouse. Under Philippine civil law, romantic attraction, dating, or courtship without a valid marriage ceremony does not create a legal relationship by consanguinity or affinity. Consequently, contract stipulations that strictly require disclosure of relationships by consanguinity or affinity do not apply to unmarried romantic partners.

3. Strict Contract Construction
Under Article 1306 and related provisions of the Civil Code, contracts are strictly construed according to their express literal terms when the wording is clear and leaves no room for doubt. An employer cannot unilaterally expand a contractually defined disclosure requirement regarding consanguinity or affinity to encompass non-marital romantic relationships. Until the parties legally marry or the company amends its employment policies, the employee is under no contractual obligation to disclose the relationship.
