2013 Legal and Judicial Ethics, Q2

Atty. Serafin Roto is the Corporate Secretary of a construction corporation that has secured a multi-million infrastructure project from the government. In the course of his duties as corporate secretary, he learned from the company president that the corporation had resorted to bribery to secure the project and had falsified records to cut implementing costs after the award of the project.
The government filed a civil action to annul the infrastructure contract and has subpoenaed Atty. Roto to testify against the company president and the corporation regarding the bribery. Atty. Roto moved to quash the subpoena, asserting that lawyer-client privilege prevents him from testifying against the president and the corporation.

1. Attorney-Client Privilege Scope
Under Rule 130, Section 24(b) of the Rules on Evidence, the attorney-client privilege protects confidential communications made by a client to an attorney in the course of professional employment. For the privilege to attach, the communication must be made in confidence and specifically seeking legal advice or representation from the attorney acting in a professional capacity. Information acquired by a lawyer who is acting solely in a non-legal capacity, such as an executive officer or corporate secretary, falls outside the legal privilege.

2. Corporate Officer Capacity
When a lawyer serves a dual role as both legal counsel and a corporate officer, such as corporate secretary, communications made to him in his capacity as a corporate officer are not privileged. Corporate secretarial duties regarding business operations, administrative matters, or corporate governance do not constitute legal representation. Consequently, factual disclosures made to a corporate secretary concerning illegal corporate activities or bribery schemes are not protected by the attorney-client privilege.

3. Crime-Fraud Exception
Under the crime-fraud exception in evidence law, the attorney-client privilege does not extend to communications made in furtherance of an ongoing or future crime, fraud, or unlawful act. Even if a communication occurred within an attorney-client relationship, advice or disclosures sought or given to facilitate bribery, corruption, or record falsification are stripped of confidentiality. Therefore, courts will compel testimony regarding unlawful corporate schemes that defeat the public administration of justice.
