2017 Labor Law, Q7

Dr. Crisostomo entered into a retainer agreement with AB Hotel and Resort whereby he would provide medical services to the guests and employees of AB Hoteland Resort, which, in turn, would provide the clinic premises and medical supplies. He received a monthly retainer fee of ₱60,000.00, plus a 70% share in the service charges from AB Hotel and Resort’s guests availing themselves of the clinic’s services. The clinic employed nurses and allied staff, whose salaries, SSS contributions and other benefits he undertook to pay. AB Hotel and Resort issued directives giving instructions to him on the replenishment of emergency kits and forbidding the clinic staff from receiving cash payments from the guests.
In time, the nurses and the clinic staff claimed entitlement to rights as regular employees of AB Hoteland Resort, but the latter refused on the ground that Dr. Crisostomo, who was their employer, was an independent contractor. Rule, with reasons. (4%)

1. Independent Contractor
Under Philippine labor law, an independent contractor carries on a distinct and independent business, undertaking to perform work on their own account, under their own responsibility, and according to their own methods, without being subject to the control of the principal except as to the results of the work. An independent contractor selects, hires, pays, and supervises their own employees, thereby establishing a direct employer-employee relationship with those staff members while relieving the principal of direct labor liabilities.

2. Control Test Guidelines
The power of control is the most decisive factor among the four-fold test elements used to establish an employer-employee relationship. However, not all directives or regulations issued by a principal constitute employer control over the means and methods of work. Administrative guidelines, safety rules, and operational directives intended merely to ensure desired results, maintain hotel security, or standardize emergency procedures do not transform an independent retaining relationship into a contract of employment.

3. Retainer Clinic Staff
In hotel and resort operations, retaining a licensed medical practitioner under a service contract to manage a clinic premises does not automatically make clinic staff regular hotel employees. Under established jurisprudence, such as Escasinas v. Shangri-La's Mactan Island Resort, when the retained doctor selects the nurses, pays their salaries and social security contributions, and exercises direct administrative supervision over their daily duties, the doctor remains the sole employer of the clinic staff.
