1. Contract to Sell
Under Article 1458 in relation to Article 1478 of the Civil Code, a contract to sell is a bilateral contract whereby the prospective seller explicitly reserves ownership of the subject property until the prospective buyer fully pays the agreed purchase price. Full payment operates as a positive suspensive condition, the non-fulfillment of which prevents the obligation of the seller to convey title from acquiring binding force. Title remains with the seller regardless of delivery until full satisfaction of the price.

2. Title Reservation Clause
A title reservation clause under Article 1478 of the Civil Code is a valid stipulation that distinguishes a contract to sell from a contract of absolute sale. In an absolute sale, title passes to the vendee upon actual or constructive delivery, whereas in a contract to sell, ownership is retained by the vendor despite physical transfer of possession. The buyer acquires a mere prospective right to compel conveyance once all contractually stipulated installments are paid in full.

3. Public Document Requirement
Under Article 1358 of the Civil Code, acts and contracts which have for their object the creation, transmission, modification, or extinguishment of real rights over immovable property must appear in a public document. A contract to sell covering land must be executed before a notary public to bind third persons and enable formal registration with the Register of Deeds, ensuring statutory enforceability and protecting registered land titles against unrecorded claims.
